Contractual Parties & Agreement Scope
These Terms of Service (“Terms”) are a legally binding agreement between Testnir, Inc. (“Testnir”, “we”, “us”) and the organization or individual that registers for or uses the Service (“Customer”, “you”). Our Privacy Policy explains how we handle data and forms part of these Terms.
Authority & order forms
If you accept these Terms on behalf of an organization, you confirm that you have authority to bind it. A signed Order Form or Data Processing Agreement takes precedence over these Terms where they conflict.
The Testnir Platform & Modules
Testnir brings the tools a QA or engineering team uses every day into one workspace (the “Service”). Main modules include:
API Studio & scheduled runs
Requests, collections, environments, assertions, and test runs. Requests are sent through Testnir’s request proxy. Scheduled runs execute on Testnir servers and can notify Slack, Discord, or Google Chat.
API Inspector
Rules that rewrite, mock, delay, or fail matching requests. Rules are saved to your account or workspace and applied by the request proxy.
Screen recorder & screenshots
Browser-based screen recording saved on your device and exported as MP4 or WebM, plus a screenshot editor with annotation and redaction tools.
Site reviews & issue handoff
Visual review of live sites with element-level comments and pins, and issue creation in Jira, Linear, and GitHub.
AI features & developer utilities
Optional AI assistance (chat, test cases, bug reports, transcription, translation) and a library of in-browser utilities such as JSON, JWT, regex, diff, encoding, and test data tools.
We continuously improve the Service and may add, change, or retire features. We will give reasonable notice before removing a feature that is material to a paid plan.
Workspace Governance & Roles
Each workspace is logically isolated, and access is enforced on our servers and by database security rules. Workspace owners and admins are responsible for granting the right role to each member. Built-in roles:
Everything an Admin can do, plus promoting other members to Owner and deleting the workspace.
Manages members, roles, workspace settings, and shared secrets, and can view the audit log, AI usage, and workspace exports.
Creates, edits, and runs shared collections and schedules, uses shared secrets, works on site reviews and diagrams, and creates public share links.
Read-only access to shared workspace resources and scheduled runs.
Workspaces can also define custom roles from a subset of these permissions. Owner-only permissions cannot be granted to a custom role.
Plans, Seats & Billing
Plans and published prices are listed on our pricing page:
Personal access to the developer utilities, API Studio, screen recording, and AI features, subject to usage limits.
Shared workspaces, shared collections and schedules, site reviews, issue tracker integrations, and workspace roles.
Volume pricing and any additional commitments, such as single sign-on, custom retention, dedicated infrastructure, or service levels, apply only as set out in a signed Order Form.
Early access: paid billing is not yet live. While workspaces are in Team Preview, they are free to use with member limits. Before we charge for any plan, we will show the price, billing period, renewal, and cancellation terms at checkout or in an Order Form, and you will need to accept them.
Seats: each person needs their own account. Accounts and seats may not be shared.
AI Features & Provider Keys
AI features run through Testnir’s AI gateway using either Testnir-managed provider keys or keys you add yourself.
Your own keys: when you add a key for OpenAI, Anthropic, Google Gemini, OpenRouter, Groq, or another supported provider, the provider bills you directly and Testnir adds no per-token fee. You are responsible for complying with that provider’s terms.
Testnir-managed keys: AI usage on Testnir-managed keys may be subject to plan limits and fair-use rate limits.
AI output: AI-generated content can be inaccurate or incomplete. Review it before relying on it. Testnir does not warrant the accuracy of AI output.
Customer Content & Ownership
As between Testnir and Customer, Customer retains all rights in its content: API collections, environments, assertions, API Inspector rules, recordings, screenshots, site reviews and comments, bug reports, and anything else you create or upload (“Customer Content”).
You grant Testnir a limited, non-exclusive license to host, process, transmit, and display Customer Content only as needed to provide and secure the Service, including relaying requests through our request proxy and AI gateway. Testnir does not sell Customer Content or use it to train AI models.
Testnir owns the Service itself, including its software, design, and documentation. If you send us feedback, we may use it without obligation to you.
Acceptable Use
You agree not to misuse the Service or let anyone else misuse it. In particular, you will not:
- •Use the request proxy, scheduled runs, API Inspector, or site reviews to send traffic to, load-test, or probe systems you are not authorized to test.
- •Attempt to bypass rate limits, usage limits, seat limits, workspace isolation, or other security controls.
- •Reverse engineer or attempt to extract the source code of the Service, except where applicable law expressly permits it.
- •Upload or transmit malware, unlawful content, or content that infringes the rights of others.
- •Submit protected health information or payment card data unless a signed agreement with Testnir expressly allows it. Use synthetic or de-identified test data.
We may suspend access that violates these rules or threatens the security or stability of the Service. Where practical, we will notify you first.
Availability & Service Levels
We work to keep the Service available and to give advance notice of planned maintenance. These Terms do not include a financial uptime guarantee. Any uptime commitment and service credits apply only if they are set out in a signed Enterprise Order Form.
What depends on Testnir servers
Sign-in, sending API requests, AI features, scheduled runs, site reviews, and workspace sync need Testnir servers. Browser-based utilities such as the JSON, JWT, regex, and diff tools process data on your device, so they can keep working through a brief connectivity drop once the page has loaded.
Warranties, Liability & Indemnity
Intellectual property indemnity
Testnir will defend Customer against third-party claims alleging that the Service, as provided by Testnir, infringes that party’s patent, copyright, or trade secret, and will pay resulting damages finally awarded or agreed in settlement.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. EACH PARTY’S TOTAL LIABILITY ARISING OUT OF THESE TERMS IS LIMITED TO THE FEES PAID BY CUSTOMER IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Term, Deletion & Data Export
These Terms apply for as long as you use the Service. You can stop at any time and delete your account from account settings.
Export collections as Testnir JSON or Postman collections, and environments in Postman format. Admins can export workspace data.
A deleted workspace can be restored by an owner for 30 days, then it and its content are permanently purged.
Sole workspace owners must transfer ownership or delete their workspaces before deleting their account.
We may terminate these Terms or suspend accounts for material breach, including violations of Section 7. Sections 6, 9, and 11 survive termination.
Governing Law & Notices
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules. We may update these Terms; when changes are material, we will notify you in the Service or by email before they take effect.
